1. Scope of Application
These General Terms and Conditions of B2B Sale apply to all orders placed via the Thais Bernardes B2B website and form an integral part of every sales contract concluded between Thais Bernardes and the Customer.
Access to the B2B area and the ability to make purchases are reserved for professional operators, such as, by way of example:
shops and retailers;
companies;
distributors;
agents and professional operators in the sector;
other parties who purchase the products for purposes relating to their professional activity.
Access and authorisation to make purchases are subject to prior approval by Thais Bernardes, which reserves the right to accept or reject requests for access to the B2B channel at its discretion.
Acceptance of these Terms and Conditions is a prerequisite for placing orders via the B2B website.
2. Registration and B2B account
To access the B2B service, the Customer must provide complete, accurate and up-to-date information regarding their business, including, where required, company name, VAT number, tax reference number, registered office address, billing details and contact details of the purchasing manager.
The Customer is responsible for the accuracy of the information provided and for safeguarding their login credentials.
Thais Bernardes reserves the right to suspend or revoke access to the B2B area in the event of inaccurate information, misuse of the service, or a breach of these Terms and Conditions or applicable legal provisions.
3. Products and availability
The products available for purchase are those listed in the B2B catalogue at the time of ordering.
The availability indicated on the website refers to the information available in Thais Bernardes’ systems at the time of ordering.
It is not possible to place orders for products that are unavailable.
For products manufactured or sourced to order, delivery is expected within approximately 50 days of order confirmation, unless otherwise notified by Thais Bernardes.
The lead times indicated for made-to-order products are to be regarded as approximate and may be subject to change due to production requirements, supply issues, availability of materials or other circumstances not directly within Thais Bernardes’ control.
Any significant changes will be communicated to the Customer.
4. Minimum Order
The minimum value of the first order is €2,000.00, excluding VAT and delivery charges.
The minimum value for subsequent reorders is €500.00, excluding VAT and delivery charges.
There are no further restrictions on order quantities or product ranges, unless specific conditions have been agreed in writing between Thais Bernardes and the Customer.
5. Conclusion of the contract
The submission of an order by the Customer constitutes an offer to purchase.
The order shall be deemed accepted and the contract concluded only upon confirmation by Thais Bernardes.
Thais Bernardes reserves the right not to accept an order, in whole or in part, should commercial, production, administrative or product availability reasons prevent its fulfilment.
The Customer will be notified should the order not be accepted.
6. Prices
All prices displayed in the B2B area are quoted in euros, excluding VAT, and do not include delivery charges.
Thais Bernardes reserves the right to amend the prices on the B2B website at any time.
Price changes do not apply to orders already accepted and confirmed by Thais Bernardes.
Any commercial terms, discounts or bespoke prices granted to specific Customers must be expressly approved by Thais Bernardes.
7. Discounts
For orders exceeding €2,500.00, excluding VAT, a discount of 3% may be applied, subject to the conditions set out on the website or in the order confirmation.
Any further discounts, promotional offers or different commercial terms must be authorised in advance by Thais Bernardes.
Any discounts may not be combined with other promotions or special terms, unless expressly stated otherwise by Thais Bernardes.
8. Payment Terms
Payment for orders shall be made by bank transfer, in accordance with the details provided by Thais Bernardes in the order confirmation or in the relevant commercial documentation.
Unless otherwise expressly agreed and approved by Thais Bernardes, payment is structured as follows:
30% of the order value in advance, at the time of ordering;
70% of the remaining balance prior to dispatch.
The order will only be processed and dispatched once the outstanding balance has been received.
Any alternative payment method or terms must be assessed and authorised in advance by Thais Bernardes.
In the event of non-payment or late payment, Thais Bernardes reserves the right to suspend the fulfilment of orders, suspend access to the B2B service and take any further remedial action provided for by law and the contract.
9. Invoicing
The invoice will be issued on the basis of the details provided by the Customer at the time of registration and/or placing the order.
The Customer is responsible for the accuracy and completeness of the tax and invoicing details provided to Thais Bernardes.
Any consequences arising from the provision of incorrect or incomplete details shall be borne by the Customer.
10. Dispatch and Delivery
Delivery charges are excluded from product prices and are payable by the Customer, unless otherwise agreed in writing.
Shipment is made to the address specified by the Customer in the order or agreed with Thais Bernardes.
Unless otherwise agreed, the risk of loss, damage or deterioration of the products passes to the Customer upon handover of the goods to the carrier responsible for shipment.
The Customer is therefore responsible for managing the shipment and any risks associated with transport from the moment the carrier takes charge of the goods.
Thais Bernardes undertakes to prepare the goods with suitable packaging and to provide, where available, the relevant shipping documentation.
Any visible damage to the packaging or the goods must be reported by the Customer to the carrier in accordance with the procedures and terms applicable to the transport, and must also be promptly reported to Thais Bernardes.
11. Inspection of the goods and complaints
The Customer is required to inspect the goods received within a reasonable time of delivery, checking that the products received correspond to those ordered and checking for any immediately detectable defects or anomalies.
Any discrepancies, incorrect products or defects found must be reported to Thais Bernardes within 10 days of delivery, by means of a written notice accompanied, where necessary, by photographs and a detailed description of the complaint.
Failure to notify within this period may result in the loss of the right to make a complaint as provided for in these Terms and Conditions, to the extent permitted by law.
The mandatory provisions applicable to the warranty for faults and defects in the goods remain unaffected.
12. Returns and Faulty Products
There is no right of withdrawal for purchases made via the B2B channel.
Returns will only be accepted in the following cases:
a faulty product;
a product damaged prior to delivery to the Customer;
a product that does not conform to the order placed;
and subject to authorisation from Thais Bernardes.
The Customer must not return the goods independently without first receiving authorisation from Thais Bernardes and the relevant instructions.
Following inspection of the returned product, Thais Bernardes may, as appropriate, proceed with a replacement, repair, issue a credit note or provide another solution agreed with the Customer, in accordance with applicable legislation.
Replacement of the product will only be possible if the same item is in stock at the Thais Bernardes warehouse.
If a replacement product is not available, Thais Bernardes will discuss with the Customer the appropriate solution for the specific case.
Returns relating to products that have been damaged, altered or misused by the Customer or by third parties will not be accepted.
13. Warranty for defects and faults
Purchases made by business customers are subject to the warranty provisions for defects in the goods sold as set out in the Civil Code, within the limits and subject to the conditions laid down by law and in these Terms and Conditions.
The Customer is required to report any defects or faults in accordance with the procedures and within the time limits set out in Article 11 above.
The warranty does not cover damage resulting from misuse, negligence, tampering, unauthorised modifications, normal wear and tear, incorrect maintenance or use of the products in a manner inconsistent with their characteristics and intended purpose.
Verification of the defect and any acceptance of the warranty claim shall be carried out by Thais Bernardes on the basis of the documentation and the returned product.
14. Right of withdrawal
Given the commercial nature of purchases made through the B2B channel, the Customer is not entitled to the right of withdrawal provided for by consumer protection legislation.
Any commercial returns or exceptions may only be authorised by Thais Bernardes and must be agreed in writing in advance.
Any authorisation for a commercial return does not constitute a precedent nor does it imply an obligation to accept similar requests in the future.
15. Resale of products
The Customer is authorised to resell Thais Bernardes products through their own commercial channels, both physical and digital, in accordance with these Terms and Conditions and the guidelines provided by Thais Bernardes.
The sale of products via Amazon is expressly prohibited, unless prior written authorisation has been granted by Thais Bernardes.
The Customer undertakes to ensure that the presentation of the products is consistent with the brand’s image and positioning.
16. Marketing materials and use of the brand
Thais Bernardes provides its professional Customers with photographic, graphic and communication materials intended for the promotion and sale of the products.
The Customer is required to use, for communications relating to Thais Bernardes products, the marketing material and guidelines provided or approved by Thais Bernardes.
The material may be requested directly from the company in accordance with the procedures communicated by the company.
The Customer is not authorised to modify, alter or use the brand, logos, images, photographs, texts or other materials owned by Thais Bernardes in such a way as to compromise its identity, reputation or positioning.
The trade mark and all materials supplied remain the property of Thais Bernardes or their respective owners and are granted to the Customer solely for the purposes of promoting and selling the products during the course of the commercial relationship.
17. Recommended retail price
The prices indicated in Thais Bernardes’ price lists as recommended retail prices are for guidance only.
The Customer shall independently determine its own selling prices to the end consumer, in compliance with applicable legislation.
Thais Bernardes may periodically communicate recommended prices and commercial guidelines regarding product positioning.
18. International Sales
Thais Bernardes may make direct sales to business customers located in any country worldwide, subject to the Customer’s approval and that of the order.
For international sales, any duties, taxes, customs charges, import costs or other applicable costs in the country of destination shall be borne by the Customer, unless otherwise agreed in writing.
The Customer is responsible for verifying any regulatory requirements applicable to the import and resale of the products in their own country, except for those obligations which, by law, remain the responsibility of Thais Bernardes.
19. Intellectual Property
All trademarks, logos, images, photographs, texts, designs, graphics, catalogues and other content relating to Thais Bernardes and its products are protected by intellectual and industrial property legislation.
The purchase of the products does not entail the transfer of any intellectual property rights to the Customer.
Any reproduction, modification, distribution or use of Thais Bernardes materials for purposes other than the authorised promotion and sale of the products is prohibited, unless prior written authorisation has been obtained.
20. Suspension and termination of the commercial relationship
Thais Bernardes reserves the right to suspend or revoke access to the B2B area and/or terminate the commercial relationship with the Customer in the event of:
non-payment or late payment;
breach of these Terms and Conditions;
unauthorised use of the Thais Bernardes trademark or materials;
sale of products through unauthorised channels;
improper use of the B2B area;
conduct that may damage the brand’s image or reputation;
other breaches of contractual or legal obligations.
The suspension or termination of the relationship shall not affect the rights accrued by the parties in respect of orders already completed.
21. Force majeure
Thais Bernardes shall not be liable for any delay or failure to perform its obligations where such circumstances are due to unforeseeable events or events otherwise beyond its reasonable control, such as, by way of example, natural disasters, fires, wars, strikes, supply disruptions, logistical problems, breakdowns, interruptions to communication services, measures taken by the authorities or other events of force majeure.
In such cases, Thais Bernardes shall endeavour to inform the Customer and, where possible, to find an alternative solution.
22. Limitation of Liability
To the extent permitted by law, Thais Bernardes shall not be liable for indirect damages, loss of profit, loss of earnings, loss of business opportunities or any other indirect damages arising from the use or resale of the products.
The Customer is responsible for the proper storage, display, use and resale of the products following delivery.
This is without prejudice to any mandatory liabilities provided for by law.
23. Privacy
The processing of the Customer’s personal data and that of their contacts is carried out in accordance with the applicable legislation on the protection of personal data and as set out in the Privacy Policy available on the B2B website.
24. Amendments to the Terms and Conditions
Thais Bernardes reserves the right to amend or update these General B2B Terms and Conditions of Sale.
Any amendments shall apply to orders placed after their publication or notification.
The terms and conditions applicable to each order are those accepted by the Customer at the time of concluding the relevant contract.
25. Governing Law and Jurisdiction
These General B2B Terms and Conditions of Sale are governed by Italian law.
Any dispute relating to the validity, interpretation, performance or termination of these Terms and Conditions and of individual sales contracts shall fall within the exclusive jurisdiction of the Court of Milan, subject to any mandatory provisions of law to the contrary.
26. Acceptance of the terms and conditions
The Customer declares that they have read and fully accept these General B2B Terms and Conditions of Sale before placing any order.
